At Marin Law we provide the services of the creation of non-profit organizations (FOUNDATION or CORPORATION).

These are non-profit private legal entities that are regulated by the articles 545 and following of the Civil Code and by the law number 20,500 regarding the Associations and Citizen Participation in Public Management.

WHAT IS A FOUNDATION?


It is a Non-profit legal person constituted through the allocation of assets to a specific purpose of general interest.

 

 

WHAT IS A CORPORATION?


It is a Non-profit legal person, constituted by the association of people to achieve a goal of general interest of its associates or third parties.

WHAT IS AN NGO OR AN ASSOCIATION?


For legal purposes, an NGO or an Association have the same regulations as the Corporation for their constitution and administration.

 

ADVANTAGES OF CREATING A FOUNDATION OR CORPORATION


It allows it to be formally recognized by law and by State institutions.
It allows you to choose to be a beneficiary of public funds through calls from different public offices and public services.
It also allows you to participate in public tenders.
It allows to receiving donations that grant tax benefits to donors.


PROCESS OF INCORPORATION OF FOUNDATION OR CORPORATION


At Marin Law we offer the services of creating Non-profit organizations in Chile. The constitution of Foundations or Corporations begins before the corresponding Municipal Secretary and ends with the registration in the Registry of Non-Profit Legal Entities of the Civil Registry.

The constitutive act of a Foundation or Corporation is the subscription or signing of an act in which the will to create the Foundation or Corporation is expressed and that contains the approval of its statutes.

When the Articles of Incorporation and Bylaws of the Foundation or Corporation already exist, they must be deposited with the Municipal Secretary, together with a Certificate of Non-Similarity of Name and the Certificate of Criminal Record for Special Purposes of each member of the Board of Directors

Then, the municipal secretary can make observations, which must be corrected or rectified through the same formality of the Minutes and Statutes and present again to the municipal secretary or not make observations, which means that the statutes are approved by the Municipality who issues a certificate about it.

Once the Statutes have been approved by the Municipal Secretary, the records must be sent to the Civil Registry and Identification Service for registration in the National Registry of Non-Profit Legal Entities. With said registration it is possible to obtain the Certificate of Validity of Legal Entity and the Certificate of Validity of the Board of Directors.

Finally, once the legal personality has been obtained, it is necessary to assign a Single Tax Role and Start Activities in the Internal Revenue Service (SII).
